1. Agreement

By using Smart-Ops AI ("the Service"), you agree to these Terms & Conditions. The Service is provided by Smart Operation Technologies Nigeria Limited. If you do not agree, do not use the Service.

2. The Service

Smart-Ops AI provides an AI-powered WhatsApp sales assistant that automates customer conversations, order processing, and payment collection for businesses. The Service includes a business dashboard for managing products, viewing orders, and tracking conversations.

3. Eligibility

You must be at least 18 years old and a registered business in Nigeria to use this Service. You are responsible for all activity on your account.

4. Pricing & Payments

  • The Service charges ₦25 per conversation token plus a 2% commission on payments processed through the platform.
  • All customer payments are processed through Paystack and held by Smart-Ops AI.
  • Business owners can request payouts of their sales revenue minus the 2% commission.
  • Payouts are processed manually and may take up to 24 hours.
  • We reserve the right to adjust pricing with 30 days notice to registered users.

5. WhatsApp Usage

  • Smart-Ops AI connects to WhatsApp via the WhatsApp Web protocol. This is not an official WhatsApp Business API integration.
  • There is a small risk (under 2%) that WhatsApp may restrict accounts using unofficial automation. We mitigate this through inbound-only responses and human-like delays.
  • Smart-Ops AI is not responsible for any WhatsApp account restrictions that may occur.
  • You must not use the Service to send spam, unsolicited messages, or contact people who have not messaged your business first.

6. AI Responses

The AI assistant generates responses based on your product catalog and conversation context. While we strive for accuracy, Smart-Ops AI is not responsible for incorrect information provided by the AI. You should regularly review conversations through the dashboard to ensure quality.

7. Your Responsibilities

  • Keep your product catalog accurate and up to date
  • Fulfill orders placed through the platform in a timely manner
  • Respond to customer issues the AI cannot handle
  • Provide accurate bank details for payouts
  • Comply with all applicable Nigerian laws and regulations

8. Limitation of Liability

Smart-Ops AI is provided "as is". We are not liable for lost sales, missed messages during server downtime, incorrect AI responses, or any indirect damages arising from the use of the Service. Our total liability is limited to the fees you have paid in the preceding 3 months.

9. Termination

You may stop using the Service at any time by disconnecting your WhatsApp and deleting your account. We reserve the right to suspend or terminate accounts that violate these terms, send spam, or engage in fraudulent activity.

10. Governing Law

These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes will be resolved in the courts of Lagos State.
